    Welcome to RPD. By using our platform, you agree to the following terms:

  2. Definitions

    RPD: RPD refers to RPDB Ltd, registered with UK Companies House. Company Number; 11532748, Registered Office; 85 Brasenose Road, Liverpool, England, L20 8PX.

    The Subscriber: refers to the business which has taken out the Subscription.

    Subscription: A paid plan taken out by the Subscriber that grants Users access to the RPD platform and its services, charged on a monthly basis. The Subscription is governed by this terms of service document.

    User: An individual who has been granted access to the RPD platform by the Subscriber. The User must be an employee of the Subsciber unless otherwise agreed.

    Public Data: Information classified as Public Data is accessible to all users of RPD. This includes property addresses, current tenants, property areas, and landlord/tenant contact information.

    Private Data: Private Data includes lease data, comments, enquiries, files, images, and other non-public information.

    Billing Period: The monthly cycle at the beginning of which the subscription payment is due.

    Cookies: Small data files stored on your device, used by RPD for authentication and tracking purposes.

    Illegal Content: Any content that violates local, national, or international laws, including but not limited to content related to fraud, hate speech, or illegal activities.

  3. Subscription

    RPD offers one paid subscription plan for your business. By subscribing to that plan, you agree to pay the monthly fee and understand that no refunds are provided. This is a monthly recurring service, and payment is due at the beginning of each billing cycle.

    The monthly fee will remain the same for a minimum 12 month period from the start of the Subscription unless otherwisee agreed.

  4. User Access

    Upon subscription, each user of the subscriber will receive their own login credentials. These credentials are intended for individual use only and must not be shared with any other user. Sharing login information is strictly prohibited and may result in account suspension or termination.

    It is the Users responsibility to ensure that their account credentials are kept secure and should notify RPD immediately if they believe access has been compromised.

  5. Subscription Cancellation

    Cancellation by Subscriber

    To cancel your subscription, you must provide 30 days' notice. Your access to the platform will continue until the end of the billing period following your notice of cancellation.

    Cancellation by RPD

    RPD reserves the right to suspend your subscription if the Subscriber is deemed to be breaking the terms of service. In such cases, you will be notified in writing and provided with a refund for the remaining billing period.

  6. Public Data

    By entering Public Data, you acknowledge that this information may be shared with all users on the platform.

    Although RPD takes steps to ensure the integrity of public data, it cannot be held liable for the accuracy of such data, and it is recommended that users independently verify any information before relying on it for business or legal decisions.

  7. Private Data

    Private Data is stored securely and is only accessible to you and other authorized Users within the Subscribers company. RPD does not use or share Private Data outside of these permissions.

  8. Permitted Use

    Data (including both Public and Private Data) provided by RPD is intended solely for the internal use of the Subscriber's company and for advising its' clients. This data must not be shared with other businesses or third parties. Each business or third party should have their own subscription to access RPD data.

    Users are prohibited from using their access to RPD to reverse engineer, attempt to gain unauthorised access, or reproduce the data except for using the designated export functions.

  9. Illegal Content

    You agree not to upload or share any illegal or copyrighted content on the RPD platform. Any user found in violation of this rule will be subject to account suspension or termination, and may face legal action.

  10. Security

    RPD employs industry-standard encryption to protect data stored on our database server. We also ensure the server is regularly updated with the latest security patches to safeguard your information.

  11. Cookies and Tracking

    RPD uses cookies and similar technologies to enhance your experience on the platform. We store authentication data in cookies to streamline your login process and manage your session. Additionally, we use third-party services such as Google Analytics and Microsoft Clarity for tracking and analytics purposes. By using RPD, you consent to the use of these cookies and tracking tools.

  12. No Warranty

    Although RPD Ltd makes efforts to provide an accurate product, the Subscribed product and all parts thereof are provided ‘as is’, ‘with all faults’, and ‘as available’. RPD do not make, and hereby expressly exclude and disclaim, any and all representations, warranties or guarantees of any kind, whether express, implied, or statutory, including without limitation (a) merchantability, fitness for ordinary purposes and fitness for a particular purpose, workmanlike effort, quiet enjoyment and no encumbrances or liens, (b) the quality, accuracy, timeliness or completeness of the licensed product, (c) those arising through course of dealing, course of performance or usage of trade, (d) the Subscription conforming to any function, demonstration or promise by any of RPD, and (e) that access to or use of the Subscription will be uninterrupted, error-free, or completely secure.

    The Subscriber shall not hold RPD liable for any errors in reporting, evaluating, analyzing, simulating, or forecasting real estate market information, or for any information, analyses, or RPD market reports comprising the Subscribed product.

  13. Limitation of Liability

    To the maximum extent permitted by law, RPD will not be liable for any loss, cost, or damage suffered or incurred by the Subscriber or any third party, including without limitation those arising out of or related to any faults, interruptions, or delays in the Subscribed product or any inaccuracies, errors, or omissions in the Public or Private Data contained in the Subscribed product, regardless of how such faults, interruptions, delays, inaccuracies, errors, or omissions arise, or for any unauthorised use of the licensed product.

    RPDs aggregate, cumulative liability relating to this agreement and use of the Subscribed product shall be limited to the Subscribers actual, recoverable direct damages, if any, which in no event shall exceed the total amount of Subscription fees actually paid to RPD under this agreement during the twelve-month period immediately preceding the date such claim arose. Recovery of this amount shall be the Subscribers sole and exclusive remedy for any applicable damages.

    Under no circumstances will RPD be liable for lost profits howsoever arising, or for any indirect, incidental, punitive, exemplary, special, or consequential damages, including, without limitation, any such damages arising out of, based on, resulting from, or in connection with this agreement or any use of the Subscribed product, even if RPD has been advised of the possibility of such damages. The exclusion of damages in this paragraph is independent of the Subscribers exclusive remedy and survives in the event such remedy fails.

    No action arising out of or pertaining to this agreement may be brought by the Subscriber more than one (1) year after the cause of action has arisen. The provisions of this section apply without regard to the cause or form of action, whether the damages are grounded in contract, tort (including negligence), product liability, or any other cause of action.

  14. Indemnification

    The Subscriber agrees to defend, indemnify, and hold harmless RPD from and against any third-party action, suit, claim, or demand and any associated losses, expenses, damages, costs, and other liabilities (including reasonable attorneys' fees), arising out of or relating to Subscriber’s (and Subscriber’s Users') use or misuse of the Subscribed product, information provided to RPD through the Subscribed product, or violation of this agreement. RPD shall give Subscriber prompt written notice of such claim, demand, or action (provided, however, that RPDs failure to provide such notice shall not relieve the Subscriber of its indemnification obligations except to the extent Subscriber is prejudiced thereby).

    The Subscriber shall cooperate as fully as reasonably required in the defense of any such claim or demand. If the foregoing indemnity is unavailable to RPD with respect to any claim, demand, or action under any laws, rules, or regulations for any reason, RPD shall be entitled to seek in a court of competent jurisdiction Subscriber’s contribution to such claim, demand, or action under any legal or equitable theories available to it. This section shall survive the expiration or termination of this agreement.
